This agreement describes the terms and conditions
for participation in the eCOMpal Affiliate Program.

You can add or remove links at any time.
You can add as many links as you want to your site, either text or banner
link, which we supply. If you decide you don't want to participate in the
program any longer, just remove the links from your site.

eCOMpal Services are:
Shopping Cart, Affiliate Program, Customer Tracking, Recurring Billing,
AutoMail Program, Offline Affiliate Program, and other services which may be
added from time to time. In addition, there are several desktop programs
including interfaces to QuickBooks, Quicken, Money, and UPS WorldShip as
well as a label printing program.

Referral Fee For Services. When anyone
referred by the link on your site purchases an eCOMpal service, noted in
2 above, from eCOMpal, within 90 days of their initial visit to
our site, you will receive a 30% reward. For example,
if someone referred by you purchases the basic service your will receive a
payment of $5.10 for each month of service. Normally, we bill either 3
months at a time, so you will receive $15.30 every three months as long as
they continue paying for the service. That's $61.20 for each year. In
addition, if they choose any or all of the options services eCOMpal offers you will
receive a 30% commission on those fees as well.
In addition, if anyone anyone referred by the link on your site becomes an
affiliate you will receive a reward of 10% of the services purchased by
anyone referred by the link on their site.

Monthly Payment of Fees. Fees will be
totaled quarterly and a payment will be sent to your PayPal Account by the fifteenth of the following
month for the applicable referral fees.

Returns and Cancellations. Referral
fees for orders that are returned or cancelled will be deducted from
referral fees earned. If the return or cancellation occurs after a month has
been processed, the deduction of the referral fee will occur in the
following month. If there is no next monthly payment, you will be billed for
the appropriate referral fee.

Sales Tracking. Sales are
automatically tracked by our shopping cart. You will have a personal logon
that will allow you to view all sales that have accrued to your
account at any time.

This agreement may be modified.
eCOMpal reserves the right to modify any of the terms and
conditions of this agreement at any time by posting a new agreement on our
web site.

Cancellation of this agreement. Either
you or eCOMpal, acting at their sole discretion, may choose to
cancel this agreement at any time by written notice of cancellation to the
other. Email to the last known email address will suffice for written
notice.

Order Processing. eCOMpal is
solely responsible for processing all orders, customer inquiries,
cancellations, and customer support. Customers that purchase any service or product from
eCOMpal is deemed to be a customer of eCOMpal.

NO NO's. If you do, or engage in, any
of the following you will be immediately terminated from the eCOMpal Affiliate Program and any referral fees
that are unpaid will become the property of eCOMpal:
Signing Up Under Yourself. If you
sign up under yourself as a sub-associate to earn additional commissions
you will be terminated! We have sophisticated software that checks for
these types of accounts. You will be found and you will be terminated! -
Using SPAM. If you use SPAM, in any way,
shape or form, including email and newsgroup spamming, you will
be terminated!

Submitting the software to WAREZ,
CRACK, or SPAM oriented sites. If you submit our software to any
WAREZ, CRACK, or SPAM oriented sites you will be terminated!

Disclaimer of Warrantee. THE
WARRANTEES IN THIS AGREEMENT REPLACE ALL OTHER WARRANTEES, EXPRESS OR
IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE. WE DISCLAIM AN EXCLUDE ALL OTHER WARRANTIES. IN NO EVENT
WILL OUR LIABILITY OF ANY KIND INCLUDE ANY SPECIAL, INCIDENTAL OR
CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE KNOWLEDGE OF
THE POTENTIAL LOSS OR DAMAGE.

Liability. We will not be liable for
any loss or damage caused by delay or any other performance of any of the
terms of this agreement. Our entire liability and your exclusive remedies
for our liability of any kind (including liability for negligence except
liability for personal injury caused solely by our negligence) for the terms
of this agreement are limited to the total referral fees paid to and payable
by eCOMpal to you under this agreement.

Miscellaneous. You and eCOMpal are independent contractors and nothing in this agreement is
intended to or will create any form of partnership, joint venture, agency,
franchise, sales representative or employment relationship between the
parties.
